1. Introduction
These Terms and Conditions ("Terms") govern the relationship between Booking Shots ("Company"), a company engaged in the tourism industry offering hotel bookings, tours, cruises, packages, itineraries, and trips ("Services"), and any third-party service provider ("Vendor") who wishes to offer their services through the Company's platforms, including its website and mobile applications ("Platforms").
2. Vendor Obligations
2.1 Service Provision: * Vendors shall provide the Services to the Company's customers in accordance with the agreed-upon terms, including but not limited to: * Service descriptions, pricing, availability, and terms and conditions. * Timely and professional service delivery. * Compliance with all applicable laws and regulations. * Maintaining appropriate insurance coverage for their services. * Vendors shall promptly notify the Company of any changes to their services, including price changes, availability, and cancellations.
2.2 Quality Control: * Vendors shall maintain high standards of quality and customer service. * Vendors shall address customer complaints and resolve issues promptly and professionally.
2.3 Data Protection: * Vendors shall comply with all applicable data protection laws and regulations, including but not limited to the General Data Protection Regulation (GDPR). * Vendors shall not collect, use, or disclose any customer data without the Company's prior written consent or as otherwise permitted by applicable law.
2.4 Online Payments: * Vendors shall comply with the Company's payment processing guidelines and integrate with the Company's preferred payment gateways. * Vendors shall ensure the secure and timely processing of payments received through the Company's Platforms.
2.5 Intellectual Property: * Vendors shall not use the Company's trademarks, logos, or other intellectual property without the Company's prior written consent.
3. Company Obligations
3.1 Platform Access: * The Company shall provide Vendors with access to the Platforms to list and market their services with a free 3-month trial period upon successful registration as a Vendor *During the trial period, you can utilize the Platform's features and services at no cost, *After the free trial period expires, an annual subscription fee of USD 285 per user will be automatically charged to your designated account, *You authorize Booking Shots to automatically charge the applicable subscription fees to your chosen payment method on an annual basis and You are responsible for ensuring that your payment information is current and valid
3.2 Marketing and Promotion: * The Company shall actively market and promote the Vendor's services through its Platforms and other channels.
3.3 Customer Support: * The Company shall provide customer support for bookings made through its Platforms.
3.4 Payment Processing: * The Company shall process payments received for Vendor services and remit payments to Vendors in accordance with the agreed-upon terms.
4. Termination
4.1 Termination by Company: * The Company may terminate this agreement immediately upon written notice to the Vendor in the event of: * Material breach of these Terms by the Vendor. * Insolvency or bankruptcy of the Vendor. * Repeated failure to meet service quality standards. * Failure to comply with applicable laws and regulations.
4.2 Termination by Vendor: * The Vendor may terminate this agreement upon written notice to the Company with 30 days' prior notice.
5. Liability
5.1 Vendor Liability: * Vendors shall be solely liable for any damages or losses incurred by the Company or its customers arising from the Vendor's breach of these Terms or the provision of their services.
5.2 Company Liability: * The Company shall not be liable for any damages or losses incurred by the Vendor arising from the use of the Platforms or any actions taken by the Company in accordance with these Terms.
6. Indemnity
Vendors shall indemnify and hold harmless the Company, its affiliates, officers, directors, employees, and agents from and against any and all claims, losses, damages, liabilities, costs, and expenses (including attorneys' fees) arising from or relating to the Vendor's breach of these Terms or the provision of their services.
7. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of The Delaware General Corporation Law. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of The Delaware General Corporation Law.
8. Amendments
The Company may amend these Terms from time to time. The Company shall notify Vendors of any material changes to these Terms.
9. Entire Agreement
These Terms constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, and agreements, whether oral or written.
10. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
11. Waiver
No waiver of any provision of these Terms shall be effective unless in writing and signed by the party against whom such waiver is sought to be enforced.
12. Independent Contractors
The parties acknowledge and agree that they are independent contractors and that no agency, partnership, joint venture, or employment relationship exists between them.
